Terms of Service

By accessing our website or engaging Orange Mega Software for any service, you confirm that you have read, understood, and agree to be bound by these Terms of Service and all applicable laws.

Scope of Work

Orange Mega Software provides web development, mobile application development, UI/UX design, e-commerce solutions, digital marketing, cloud & DevOps, cybersecurity, and AI & automation solutions.

Project Agreements

Each project is governed by a separate Statement of Work (SOW) outlining deliverables, timelines, milestones, and payment terms.

Accurate Information

Clients must provide accurate, complete, and timely information required for project completion. Delays due to insufficient input may affect timelines and costs.

Review & Approval

Clients are responsible for reviewing and approving deliverables within agreed timelines.

Legal Compliance

Clients are solely responsible for ensuring all content and instructions comply with applicable laws including IP, data protection, and advertising regulations.

Invoicing

Invoices are issued per the payment schedule in the project SOW. Standard terms are net 7 days from invoice date unless otherwise agreed.

Late Payments

Late payments attract 1.5% interest per month. We reserve the right to pause work if invoices remain unpaid beyond 14 days.

Taxes

All prices are exclusive of GST and applicable taxes. Clients are responsible for taxes in their jurisdiction.

Client Ownership

Upon full payment, clients receive ownership of custom code and designs created for their project, excluding third-party components.

Portfolio Rights

We reserve the right to display completed projects in our portfolio unless restricted by a separate NDA.

Third-Party Components

Projects may use open-source libraries, licensed fonts, or third-party APIs whose licences remain the client's responsibility.

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation survives termination for 2 years.

To the fullest extent permitted by law, Orange Mega Software shall not be liable for indirect, incidental, or consequential damages. Our total liability shall not exceed the total amount paid for the specific service.

By Client

Clients may terminate with 14 days written notice. All completed work will be invoiced and must be paid in full.

By Us

We may terminate immediately for non-payment, breach of terms, or involvement in illegal activities.

These Terms shall be governed by the laws of India. Disputes are subject to the exclusive jurisdiction of courts in Kanniyakumari, Tamil Nadu, India.

We may modify these Terms at any time. Changes take effect upon posting. Continued use of our services constitutes acceptance.
